These Terms of Service ("Terms", "Terms of Service") govern your use of our website located at dezifi.ai and our AI agent platform services (together or individually "Service") operated by Dezifi ("us", "we", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

2. Description of Service

Dezifi provides an enterprise AI agent platform that enables organizations to build, deploy, govern, evaluate, and scale intelligent AI agents. Our Service includes:

• AI agent creation and management tools
• Multi-tenant architecture with enterprise-grade security
• Integration capabilities with third-party services
• Knowledge base and RAG (Retrieval-Augmented Generation) infrastructure
• Evaluation and monitoring frameworks
• API access and documentation

3. User Accounts

When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates any applicable federal, state, local, or international law or regulation
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service
• Transmit any viruses, malware, or other malicious code
• Attempt to gain unauthorized access to any portion of the Service or any other systems or networks
• Use the Service to create or train competing AI agent platforms
• Reverse engineer, decompile, or disassemble any part of the Service
• Scrape, crawl, or use automated means to access the Service without authorization

5. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Dezifi and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Dezifi.

You retain ownership of any data, content, or materials you submit to the Service ("Customer Data"). By submitting Customer Data, you grant us a license to use, store, and process such data solely for the purpose of providing the Service to you.

6. Payment Terms

Certain aspects of the Service may be provided for a fee or other charge. If you elect to use paid aspects of the Service, you agree to the pricing and payment terms disclosed at the time of purchase. We reserve the right to change our prices at any time, with reasonable notice provided to active subscribers.

All fees are non-refundable unless otherwise stated in writing. You are responsible for providing accurate and current billing information.

7. Service Level Agreement (SLA)

We strive to provide 99.9% uptime for our Service. Specific SLA terms, including uptime guarantees, support response times, and remedies for downtime, are outlined in your enterprise agreement if applicable. We reserve the right to suspend or modify the Service for maintenance with reasonable advance notice.

8. Data Processing and Privacy

Your use of the Service is also governed by our Privacy Policy. We process personal data in accordance with applicable data protection laws including GDPR and CCPA where applicable. For enterprise customers, a separate Data Processing Agreement (DPA) may be executed.

9. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

You may terminate your account at any time by contacting us. Upon termination, we will provide you with reasonable access to export your Customer Data for a period of 30 days, after which we may delete your data in accordance with our data retention policies.

10. Limitation of Liability

In no event shall Dezifi, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

Our total liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the amount you have paid to us in the twelve (12) months preceding the claim.

11. Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

12. Indemnification

You agree to defend, indemnify, and hold harmless Dezifi and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right; or (iv) any Customer Data you submit to the Service.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Delaware.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
